1. Grant of License
The Licensor hereby grants to the Licensee a non-exclusive, revocable license to use Locker Number _______ (the “Licensed Property”) solely for the storage of Licensee’s personal property, subject to the terms and conditions of this Agreement.
2. Term
This Agreement shall commence on_________________ and shall continue until terminated by either party in accordance with this Agreement.
3. Revocation
A. The Licensor may revoke this license at any time without cause, upon three (3) days written notice to the Licensee or or immediately in case of emergencies or if there is reasonable suspicion of prohibited use.
B. The Licensor may revoke this license effectively immediately at any time should
a. Licensee fail to comply with the terms of this Agreement and/or
b. for violation of Licensor’s policies, including but not limited to, any violation of Sections 4 or 5 of this Agreement. Licensee shall be responsible for any balance due and owing at the time of termination and shall not be relieved of its financial obligations under this Agreement should Licensor terminate this Agreement with cause. Any amounts due and owing at the time of termination shall be paid in full within 3 business days of the termination.
4. Use of Locker Licensee agrees to:
● Use the Licensed Property solely for the storage of personal property.
● Maintain the Licensed Property in good condition.
● Comply with all applicable laws and regulations.
5. Prohibited Uses
The Licensee agrees not to store:
● Hazardous, flammable, or illegal substances.
● Perishable items or items emitting odors.
● Weapons
● Any item prohibited by Florida or Federal law or the Licensor’s policies.
● Any items obtained illegally, as result of or during the commission of any crime under Florida or Federal law, regardless of whether Licensee was the individual who committed or participated in the illegal act and/or crime.
● Alcohol purchases from any outside source, other than Licensor. Only alcohol purchased from Licensor shall be permitted to be stored in the Locker.
● Assign or sublicense this license without prior written consent from the Licensor.
Licensor reserves the right to amend its policies at its discretion at any time and shall provide notice of the policy by posting it at the business. Licensee agrees and acknowledges that Licensor’s policies shall be incorporated by reference as if part of this Agreement.
6. Access
The Licensee shall have access to the Locker during the Licensor’s hours of operation only.
7. Maintenance and Damages
The Licensee shall keep the Locker clean and in good condition. Any damage caused by the Licensee shall be repaired at the Licensee’s expense.
8. Termination
This Agreement may be terminated by:
● The Licensor, upon notice as provided in Section 3.
● The Licensee, upon written notice to the Licensor as provided in Section 3..
● Breach of any term of this Agreement by the Licensee.
Licensee shall be responsible for any balance due and owing at the time of termination and shall not be relieved of its financial obligations under this Agreement. Any amounts due and owing at the time of termination shall be paid in full within three (3) business days of the termination.
9. Liability
The Licensor shall not be liable for the loss, theft, or damage of items stored in the Locker unless caused by the Licensor’s gross negligence or willful misconduct. The Licensee is encouraged to secure their belongings and maintain personal insurance.
10. Indemnity
The Licensee agrees to indemnify, defend, and hold harmless the Licensor from any claims, damages, or liabilities arising out of the Licensee’s use of the Licensed Property.
11. Duty to Report
Licensor reserves the right to report to the appropriate law enforcement and/or government authority any suspicion of illegal activity and/or illegal purpose related to the use of the Locker and/or related to the items placed in the Locker.
12. Governing Law and Venue
This Agreement shall be governed by the laws of the State of Florida. Venue for any claim or dispute arising under or relating to this Agreement, or its execution, shall be brought only in the Circuit Court in and for Miami-Dade County, Florida.
13. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the Locker and supersedes all prior agreements.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Acknowledgment
The Licensee acknowledges that this license is revocable at the sole discretion of the Licensor and does not create any property interest or tenancy in favor of the Licensee.
